Terms and Conditions

These terms govern every website, app and software project undertaken by DevNovaTech Softwares in Nairobi and across Kenya. Please read them carefully before requesting a quote or starting a project with us.

1. Acceptance of These Terms

By requesting a quote, signing off on a proposal, making a payment or otherwise engaging DevNovaTech Softwares ("DevNovaTech", "we", "us") for web design, app development, website maintenance or any related digital service, you ("the client") agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please contact us before proceeding so we can address your concerns.

2. Our Services

DevNovaTech provides website design and development, e-commerce development, Android app development, point of sale software, search engine optimization, digital marketing, LMS and CRM development, graphic design, website maintenance and support services to clients across Kenya and beyond. The exact scope of work for each project or maintenance plan is defined in the quote, proposal or invoice shared with the client before work begins.

3. Quotes, Proposals and Getting Started

All quotes provided by DevNovaTech, whether through our website, WhatsApp, email or in person, are estimates based on the information the client provides at the time of the request. A quote is valid for 30 days from the date it is issued unless stated otherwise. Final pricing is confirmed once the full project scope, features and requirements are agreed upon in writing between DevNovaTech and the client.

A project is only considered officially started once the client has accepted the quote and the deposit described in Section 4 has been received.

4. Payment Terms

To begin any new project, DevNovaTech requires a non-refundable deposit of 40 percent of the total project cost before work commences. This deposit secures your project slot and covers initial design, planning and development work.

The second instalment of 30 percent is due once the project reaches an agreed midpoint milestone, such as design approval or a working development preview, and before work continues beyond that stage. The final 30 percent balance is due upon completion of the project and before the final website, app or system is handed over, published live, or its source files and login credentials are released to the client. Payments can be made via M-Pesa, bank transfer or another method agreed upon with our team.

Important

The quoted price covers the full functionality, features and pages agreed upon in the original scope of work. If the client requests additional features, pages, design changes or functionality that fall outside the agreed scope once the project is already underway, these will be treated as additional work and will attract an extra cost. DevNovaTech will always inform the client of any extra cost and get written or WhatsApp approval before carrying out additional work.

Website maintenance plans are billed separately from one-off project work, in line with the terms and payment schedule set out in Section 10.

5. Project Timeline and Delivery

Estimated delivery timelines are provided at the start of every project and depend on the size and complexity of the work involved. Timelines begin once the deposit has been paid and all necessary content, materials and information have been received from the client.

Delays caused by late feedback, missing content, slow approvals or changes to the original scope from the client's side may extend the agreed delivery date. DevNovaTech will communicate promptly if any delay is expected on our part.

6. Revisions and Additional Requests

Every project includes a reasonable number of revision rounds within the original agreed scope, communicated at the start of the project. These revisions cover refinements to design, layout, content placement and minor functionality adjustments already included in the quote.

  • Requests for new pages, new features or functionality not included in the original scope will be quoted separately as additional work.
  • Major design direction changes after design approval may attract an additional cost and may affect the delivery timeline.
  • Content changes requested after a page has been marked as complete and approved by the client may be billed as a small revision fee, depending on the extent of the change.

We always discuss and confirm any additional cost with the client before starting extra work, so there are never any surprise charges.

7. Client Responsibilities

To keep your project on schedule and ensure the best result, the client agrees to:

  • Provide all necessary content, images, logos, text and account access in good time.
  • Respond to requests for feedback and approval within a reasonable timeframe.
  • Ensure that any content, images or material supplied to DevNovaTech does not infringe on the intellectual property rights of any third party.
  • Make agreed payments on time, as outlined in Section 4.

8. Ownership and Intellectual Property

Once the project has been paid for in full, ownership of the final website, app or system design and its source files transfers to the client. DevNovaTech retains the right to showcase completed work, including screenshots and links, in our portfolio and marketing materials unless the client requests otherwise in writing.

Any third party assets used in the project, such as licensed stock images, fonts, plugins or premium themes, remain subject to their own respective licenses.

9. Hosting, Domains and Third Party Services

Where DevNovaTech assists with hosting or domain registration on the client's behalf, these are billed separately from the development cost and are subject to the terms of the relevant hosting or domain provider. The client is responsible for renewing hosting, domain and any third party subscriptions after the initial period, unless a maintenance plan has been agreed with DevNovaTech.

10. Website Maintenance Services

DevNovaTech offers ongoing website maintenance plans for clients who want ongoing updates, monitoring and support after their website or app has been delivered. Maintenance services may include, depending on the plan agreed with the client, content updates, plugin and software updates, security monitoring, performance checks, backups, minor bug fixes and general technical support.

Maintenance Billing

Maintenance plans are billed on a recurring basis, typically monthly or annually, as agreed at the time of sign up, and are separate from any one-off project or development cost. Payment for a maintenance period is due in advance before that period's services are rendered, unless otherwise agreed in writing.

The scope of each maintenance plan, including the number of update requests, response times and what is covered, is set out in the specific maintenance agreement or invoice shared with the client. Requests that fall outside the agreed maintenance scope, such as major redesigns, new features or new pages, will be quoted and billed separately as additional work.

Cancellation of maintenance plans. Either party may cancel an ongoing maintenance plan by giving at least 30 days' written notice, unless a different notice period was agreed at sign up. Fees already paid for the current billing period are non-refundable, but no further charges will be applied once the plan has ended. If a maintenance plan lapses due to non-payment, DevNovaTech reserves the right to pause maintenance services, including updates, monitoring and support, until the account is settled.

Client obligations under a maintenance plan. The client agrees to maintain valid and current hosting, domain and any required third party service subscriptions for the duration of the maintenance plan, and to provide timely access, content or approvals needed for DevNovaTech to carry out maintenance work. DevNovaTech is not responsible for issues arising from expired hosting, expired domains, lapsed third party subscriptions, or changes made to the website or system by the client or any other party outside of DevNovaTech.

11. Cancellation and Refunds

The initial 40 percent deposit is non-refundable once work has begun, as it covers time, planning and resources already committed to the project. Once the midway 30 percent instalment has been paid and invoiced work has commenced beyond that milestone, it also becomes non-refundable. If a client cancels a project partway through, DevNovaTech will invoice for any additional work completed beyond the instalments already paid, based on the percentage of the project delivered at the time of cancellation.

DevNovaTech reserves the right to pause or cancel a project if payment is not received as agreed or if the client becomes unresponsive for an extended period. Cancellation of ongoing website maintenance plans is governed separately by Section 10.

12. Warranty and Post Launch Support

Every project includes a free support period after launch, typically three months unless otherwise agreed, covering fixes for bugs or errors directly related to the work we delivered. This support does not cover new features, content updates, third party service issues, or problems caused by changes made outside of DevNovaTech after handover. Ongoing maintenance beyond the free support period is available through our maintenance plans, as described in Section 10.

13. Confidentiality

Any business, financial or technical information shared with DevNovaTech during a project or maintenance engagement is treated as confidential and will not be disclosed to third parties without the client's consent, except where required by law.

14. Limitation of Liability

DevNovaTech will make every reasonable effort to deliver a fully functional, well tested product and to carry out maintenance work with reasonable care and skill. However, we cannot guarantee that any website, app or system will be entirely free of errors at all times, or that third party services such as hosting providers, payment gateways or APIs will always be available. DevNovaTech is not liable for indirect losses, loss of revenue or damages arising from downtime, third party service failures, expired hosting or domains, or misuse of the delivered product outside its intended purpose.

15. Governing Law

These terms and conditions are governed by and interpreted in accordance with the laws of the Republic of Kenya. Any disputes arising from a project or maintenance plan will first be addressed through good faith discussion between DevNovaTech and the client before any other action is pursued.

16. Changes to These Terms

DevNovaTech may update these terms and conditions from time to time to reflect changes in how we work or to comply with legal requirements. The updated terms will be posted on this page with a new "Last Updated" date. Continued use of our services after any update constitutes acceptance of the revised terms.
